1.2 Host

FIT in EUROPE BV Owner of the "FIT in NETWORK" website and publisher of the platform connecting Experts and Clients, hereinafter referred to as FITinNETWORK services.

FIT in GROUP SAS , registered with the Compiègne Trade and Companies Register under number 804 853 737, with its registered office at 11 Avenue Myron Herrick, 75008 Paris, and member of the FIT in network for France;

Platform: the FITinNETWORKwebsite enabling Experts and Clients to connect for the purpose of carrying out part-time and full-time assignments (interim management);

Assignment: All data (information, sounds, photos, multimedia, etc.) that a Client posts on the FITinNETWORK website to propose the completion of an assignment with an obligation of means.

Client: Natural or legal person registered on the FITinNETWORK platform who posts one or more assignment requests on the FITinNETWORK website.

Expert: A natural or legal person registered on the FITinNETWORK platform who posts data (information, sounds, photos, multimedia, etc.) online in order to offer their services on the FITinNETWORK website. This is a service provider.

User: Natural or legal person using the services of FITinNETWORK.

Customer Account: Account opened by the Customer by registering on the FITinNETWORK website in order to access FITinNETWORK services.

Expert Account: Account opened by the Expert by registering on the FITinNETWORK website in order to allow them access to FITinNETWORK's services.

Profile: Information entered by the Expert on FITinNETWORK, including all information and details concerning them.

Price Proposal: All information entered by the Expert on FITinNETWORK in response to a Client's Mission proposal.

Partner: Third-party company with which FIT in EUROPE BVmaintains commercial relations for the purpose of providing additional services or information to the User.

The Terms and Conditions are available on the FITinNETWORK platform. Their purpose is to:

• Determine the conditions under which FIT in EUROPE offers its services to Experts and Clients via FITinNETWORK.
• Determine the rules for online use of FITinNETWORK services as well as the rights and obligations of the User and FIT in EUROPE.

Registration on FITinNETWORK, either as a Client or as an Expert, implies full and complete acceptance of these General Terms and Conditions of Use (hereinafter "GTCU") and a commitment to comply with their terms and conditions.

FIT in EUROPE has the right to develop its offers, add and/or modify its products and services, and add features to them, without the Expert and the Customer being entitled to claim any compensation.

The data recorded on FITinNETWORK constitutes proof of all transactions.

If an Expert or Customer of FITinNETWORK contravenes or acts in violation of these T&C, FIT in EUROPE reserves the right to suspend their Account and terminate their registration immediately.

FIT in EUROPE reserves the right to modify its T&Cs at any time, in whole or in part, in particular to add new features or modify existing ones. It is therefore the User's responsibility to regularly consult the T&Cs to be informed of any changes and updates. In the event of disagreement, the User retains the option of requesting the deletion of their Account.

Continued use of all or part of the FITinNETWORK services constitutes acceptance by the User of the updated Terms of Use.

FIT in EUROPE provides Users with an online Platform for publishing service offers and requests via the internet, accessible online atwww.fitin-network.com. FIT in EUROPE, via FITinNETWORK, connects service seekers, known as Clients, with service providers, known as Experts.

FIT in EUROPE provides:

• The technical tools and storage space enabling registered Experts to publish information about their Profile and service offers on FITinNETWORK, and enabling registered Clients to publish their Mission proposals;
• The connection technology that enables FITinNETWORK Experts and Clients to connect more easily;
• The information published on FITinNETWORK by Clients and Experts is their sole responsibility. FIT in EUROPE cannot be held responsible for the content and accuracy of a Client Account or Expert Profile.

4.1. Being an Expert on

FITinNETWORK
To offer services as an Expert, you must create an Expert Account and a Profile on the Platform. Experts must also:

• Be of legal age for any natural person;
• Have the legal capacity to enter into contractual relationships;
• Not be subject to any prohibition on managing, administering, or controlling a company;
• Have the appropriate legal status (company, self-employed, wage portage, etc.) and have completed the legal and regulatory declarations and formalities necessary for their activity, enabling them to legally carry out their activity as an Expert and issue invoices denominated in Euro (€) for each Assignment completed;
• Have at least 15 (fifteen) years of recognized professional experience;
• Have the necessary insurance to cover your liability for the services offered to Clients via FITinNETWORK;
• Commit to respecting the values as described on the Platform;
• Agree to be systematically put in competition for any Mission proposal.

The Expert undertakes to provide accurate, truthful, and sincere information and to update it regularly in the event of any changes. Upon request by FIT in EUROPE, the Expert must provide any document relating to their identification or their situation with regard to the legal obligations in force within 48 hours.

In order to request that their profile be posted online, Experts must have provided the minimum information requested by FITinNETWORK and have accepted the Terms of Use. Following a consistency review and pre-qualification process carried out by FIT in EUROPE, the profile may be posted online and made visible to Clients within 48 hours.

The Expert remains solely responsible for the information contained in their Expert Account, their Profile, and any element they decide to make available on the Platform. The Expert undertakes to use the Platform in a fair manner and refrains from circumventing the connections offered by the Platform.

If the Expert fails to comply with any of the above conditions or any legal provision when using the Platform's services, FIT in EUROPE reserves the right to suspend their Account and temporarily or permanently prohibit their access to the Platform.

FIT in EUROPE is not a recruitment agency or a temporary employment agency and is not the employer of the Experts. The Experts have no relationship of subordination to FIT in EUROPE in connection with the use of FITinNETWORK's services.

4.2. Becoming a Premium Expert on

FITinNETWORK
Any Expert who already has an account on FITinNETWORK can take out a "Premium" subscription, which allows them to promote their visibility and increase their chances of finding Assignments through the platform.

The benefits and services offered to Premium members are as follows:

• Full visibility of their identity with first and last names for all Users of the site;
• Display of the LinkedIn profile link from FITinNETWORK for all Users;
• Enhanced visibility on FITinNETWORK with a distinctive logo and specific color code;
• Appearance in the profile sorting criteria at the top of the lists, as a priority;
• Ability to upload a brochure to their Expert profile that more accurately presents their skills and services to Clients;
• Ability to add an internet link (HTML) to an external site presenting their service offering;
• Access to the mission referral feature: any Premium Expert who proposes an assignment through the FITinNETWORK network, resulting in the effective conclusion of an assignment for one of the network members, will be entitled to a referral commission representing 5.0% (five percent) of the amounts invoiced and paid, excluding tax, for the first 6 (six) calendar months of the assignment. This commission will be invoiced by the Referrer to FIT in NETWORK in the form of a business finder's fee. In return, the Referrer will ensure the proper follow-up of the assignment they have proposed to the FITinNETWORK network.

In return for the services offered to Premium Experts, a membership fee with automatic renewal will be paid by direct debit, the amounts of which are as follows:

Premium Experts with a company registered within the European Union subject to VAT:

• Annual membership fee, one-time payment: EUR 200.00 excluding VAT, with no VAT applied
• Annual membership fee, payable in twelve monthly installments: EUR 20.00 excluding VAT, i.e., an annual membership fee of EUR 240.00

Premium Experts

• Not having a company registered within the European Union
• Not subject to European VAT;
• With a company registered in the Netherlands:
• In these three cases, the fees remain the same as the amounts excluding VAT indicated above and are subject to Dutch VAT at a rate of 21.0% (twenty-one percent).

Payments are made exclusively by direct debit from a credit card issued by one of the countries of the European Union. Each payment made by a Premium Expert is subject to the issuance of a corresponding invoice by FIT in EUROPE.

. 4.3. Becoming a Customer on FITinNETWORK

Access to the Platform is free and all Users can view a summary profile of the Experts. To view the full Expert Profile, access the services, and publish a Mission, you must create a Customer Account on FITinNETWORK.

By creating an Assignment on the FITinNETWORK Platform, the Customer authorizes:

• Experts to consult and respond to their requests.
• FIT in EUROPE, via its networking technology, to transmit the information contained therein to Experts whose Profiles may correspond to the requested Missions.
• FIT in EUROPE to communicate the information to its Partners so that they can disseminate it on their own networks in order to reach as many professionals as possible who are able to respond to the requested Missions.

The Customer may request the deletion or termination of their Customer Account. However, information related to the Customer Account may remain visible if it has been shared with other FITinNETWORK Users prior to the request.

To ensure the proper functioning of their Customer Account, the Customer agrees to:

• Create only one Account,
• Not providing a false identity or false information,
• Not create a Customer Account on behalf of a third party;
• Use the FITinNETWORK Platform and services in a fair manner and refrain from directly soliciting the Expert outside of the Platform.

The Customer shall refrain from using FITinNETWORK's services to publish requests or content that do not comply with the laws and regulations in force in the country where the Mission is published; or whose sole purpose is to find out the price proposals offered by the Experts in order to then pass them on to one or more competitors.

FIT in EUROPE reserves the right, at its sole discretion, to delete any requests and/or published content that do not comply with the Terms of Use or whose content could harm FIT EUROPE, the "FIT in" brand or its image, or the Experts using the services of FITinNETWORK.

The Client is solely responsible for the Assignments they post on the FITinNETWORK platform. FIT in EUROPE has no obligation to ensure that Experts respond to Clients' Assignment proposals.

The Client agrees to pay the invoices issued by FIT in EUROPE for the completion of Assignments exclusively by bank transfer within a maximum of 15 days. Any delay in payment shall automatically result in the application of late payment penalties equal to three times the legal interest rate and a fixed compensation fee for recovery costs of €40.

4.4. Being a User on

FITinNETWORK
Experts and Clients of FIT in EUROPE BV Services shall refrain from:

• Transmitting any prohibited, illicit, illegal data on FITinNETWORK that is contrary to public order and/or morality;
• Endangering the security of the Platform;
• Sending unsolicited mail or emails or making unsolicited phone calls to promote products or services to any Expert or Customer;
• Making commercial use of the elements or data comprising FITinNETWORK;
• Using the services of FITinNETWORK for any purpose other than that of the site.

In the event of non-compliance with any of the above prohibitions, FIT in EUROPE reserves the right to temporarily or permanently suspend the User's Account.

4.5. Commercial terms and conditions on

FITinNETWORK
The purpose of FITinNETWORK is to connect Experts and Clients in order to carry out Assignments and provide solutions to Users. Within the framework of the Assignments that will be concluded, FIT in EUROPE is the company that invoices Clients for services, organizes the provision of Experts according to their status (subcontracting, wage portage, others), and monitors the completion of Assignments concluded through its intermediary with an obligation of means.

In order to remunerate its services, FIT in EUROPE retains a global commission of 25% (twenty-five percent) on the pre-tax amount invoiced for the assignments concluded through its intermediary. The company also collects the amounts invoiced to Clients, which are payable within a maximum of 15 (fifteen) calendar days at the end of each month, and pays the Experts who have carried out Assignments no later than 5 (five) days after receiving payment from Clients.

All payments received from Clients and made to Experts are made in Euros (€), to an account based within the European Union and exclusively by bank transfer.

FIT in EUROPE provides Users with an online service, via the FITinNETWORK Platform, designed to enable Experts to promote their services and Clients to find the best service solutions to meet their Mission needs.

By using the services of FITinNETWORK, Experts can view the various service requests from Clients and receive Mission proposals from Clients and FITinNETWORK.

Experts can respond to various assignment proposals via FITinNETWORK and specify their motivation, skills, availability, and commercial terms in order to meet the assignment request.

The Client and FITinNETWORK receive the Experts' applications and are able to select the one they consider most suitable and relevant to the expressed need. FITinNETWORK puts the parties in contact with each other and, if the Client agrees to an Expert's proposal, the assignment is carried out exclusively by FIT in EUROPE, which invoices the Client and subcontracts the provision of services to the Expert selected for the assignment.

FIT in EUROPE undertakes to make every effort to implement all procedures to limit the risks associated with intrusions, hacking, or the insertion of viruses on its server and/or on FITinNETWORK. While every effort is made to ensure maximum content security, FIT in EUROPE declines all responsibility in the event of intrusion, hacking, or the insertion of viruses on its server, via its professional hosting solution, and/or in transmitted emails.

FIT in EUROPE cannot be held responsible for the results of Mission requests, particularly if they do not satisfy the Customer, either in terms of the number of responses or the price proposals.

FIT in EUROPE cannot be held liable in the event of malfunction of systems beyond its control, in particular computer networks, telephone communications, and the Internet, or in the event of force majeure (strikes, Internet network failure, etc.).

FIT in EUROPE reserves the right, without notice or compensation, to temporarily or permanently close the Platform or access to certain services in order to carry out updates, maintenance work, or service improvements, without this list being exhaustive.

FITinNETWORK includes links to third-party sites. FIT in EUROPE cannot be held liable for hypertext links to other sites.

The contents of the Platform (information, texts, graphics, videos, images, logos, icon buttons, files, etc.), the structure and the software used to operate the Platform are the exclusive property of FIT in EUROPE; they are protected by copyright and database rights.

By communicating content via the Platform, the User expressly authorizes FIT in EUROPE to host, store, use, distribute, communicate, publish, translate, and display all or part of the content on the Platform on social networks or any other media, by any means, for the purposes of marketing, promotion, advertising, or for the needs of its partnerships. This authorization is valid worldwide and for the entire duration of the registration.

Users are informed that when browsing FITinNETWORK, cookies and tags may be stored on their device's hard drive in order to measure the efficiency of the service offered.

However, Users have the option to refuse or limit the use of cookies or Tags. In this case, they may not be able to benefit from the features and services offered by FITinNETWORK.

User data is processed by FIT in EUROPE to ensure the proper functioning of the Platform and services.

Users are informed that the information they provide on FITinNETWORK is necessary for the processing and performance of services and that usage information (IP address, date, time, connection time, etc.) is also recorded on the site, stored, and analyzed for the purposes of developing and improving services.

By registering on FITinNETWORK, Users agree to receive newsletters, job offers, and news from the "FIT in" network and its partners at their registered email address. Users are informed that they have the right to access and rectify data concerning them.

FIT in EUROPE is not responsible for any third party's failure to comply with the privacy settings or security measures in force on FITinNETWORK. In any event, any breach of the security of the User's data and information may be reported tocontact@fitin-network.com.

Access to the Platform is available 24 hours a day, 7 days a week, subject to any breakdowns and maintenance necessary for the proper functioning of the site. FIT in EUROPE reserves the right to make the Platform inaccessible for any reason whatsoever, without Users being entitled to any compensation.

Given the complexity of the internet and the influx of internet users at certain times, FIT in EUROPE offers no guarantee of service continuity and cannot be held liable in the event of temporary inability to access all or part of the FITinNETWORK services.

If FIT in EUROPE is held liable, its liability for damages suffered as a result of the use of FITinNETWORK, FIT in EUROPE services, and/or FITinNETWORK content shall be limited to the sum of one hundred (100) euros, regardless of the nature of such liability, whether contractual, tortious, quasi-tortious, or criminal.

FIT in EUROPE may refuse to allow Users to use its services, without delay or compensation, in the event of a breach by the User of any of their obligations set out in these Terms of Use.

The only rights and remedies available to the User in the event of dissatisfaction with the Platform, the services offered, or any other grievance are the termination and interruption of their access to FITinNETWORK and its use.

At the end of the Premium subscription period subscribed to by the User, and in the absence of cancellation by the User, the Premium subscription will be automatically renewed according to the previously chosen subscription terms and for an indefinite period.

The invalidity of any clause in these Terms of Use shall not invalidate the other clauses or the Terms of Use as a whole, which shall remain in full force and effect. In such a case, the parties shall, to the extent possible, replace the invalid clause with a valid clause that corresponds to the spirit and purpose of these Terms of Use.

Any dispute relating to the use of FITinNETWORK's services and/or the interpretation of these Terms and Conditions shall be governed by Dutch law.

In the event of a dispute, jurisdiction is assigned to the Commercial Court of Amsterdam.

Except in cases of public policy, all disputes that may arise in connection with the execution of these Terms and Conditions must be subject to an attempt at amicable settlement before any legal action is taken.
